EDSA Micro Corp Acquired By Private Equity Firm

San Diego-based EDSA Micro Corp., which develops software for designing, testing, and diagnosing electrical power systems, announced Wednesday afternoon that majority ownership of the firm has been acquired by Digital Power Capital, an affiliate of private equity firm Wexford Capital LLC. Financial terms of the deal was not disclosed. Digital Power Capital was a minority investor in the firm. EDSA Micro said the Marc A. Ascolese of Digital Powre Capital will assume the position of Chairman and CEO of the company. EDSA Micro said current Chairman and CEO Ali Nasle will remain with the firm in a senior advisory capacity.

CardioNet Prices IPO

San Diego-based CardioNet said Wednesday afternoon that it has priced the firm’s initial public offering. The company said it will offer 4.5 million shares of its common stock at $18.00 per share. 1.5 million shares of the offering will come from Guidant Investment Corporation. The IPO is being underwritten by Citigroup Global Markets, Lehman Brothers, Leerink Swann, and Thomas Weisel Partners. CardioNet develops outpatient cardiac monitoring devices. CardioNet is backed by Boston Scientific, Sanderling Ventures, H&Q, BioFrontier, IngleWood Ventures, Foundation Medical Partners, and others. CardioNet will list on the Nasdaq Global Market as BEAT.

Retention Education Pulls In Series B

Aliso Viejo-based Retention Education, a provider of language instruction materials for teaching English and Spanish, has closed a Series B round of funding, the firm said Wednesday. Amount of the funding was not disclosed. The funding came from MK Capital, Ascend Venture Group, Ironwood Equity Fund, and OCA Ventures. Retention Education markets its products under the name “Sed de Saber,” and was founded in 2003.

NetSeer Hires Yahoo VP, Discloses Funding

Los Angeles-based NetSeer, a venture backed startup focused on the search and ad targeting market, has snagged Yahoo’s Executive VP of Global Sales as its new President and CEO. NetSeer also revealed that it has received venture backing from ONSET Ventures and Mission Ventures. Details of the funding were not disclosed. Coleman was responsible for all of Yahoo’s advertising revenues worldwide, which NetSeer said grew from $600M to $6B during his seven-year career. Coleman also has served at Reader’s Digest. Coleman will also join Terry Opdendyk of ONSET and David Ryan of Mission Ventures on the firm’s board of directors.

Phoenix Motorcars Gets Investment

Ontario, California-based Phoenix MC, Inc. which is designing electric vehicles, said this morning that the firm has secured additional financing from two new investors. Phoenix Motorcars said that it received an undisclosed amount of funding from Dubai-based Al Yousuf LLC, and Arlington, Virgina-based AES Corporation. Merriman Curhan Ford & Co. acted as the placement agent on the transaction, with O’Melveny & Myers LLP in a legal advisory role. Eqbal Al Yousef of Al Yousuf LLC, and Robert Hemphill, EVP at AES Corporation have joined the company’s board as part of the funding. In addition, Phoenix Motorcars said that founders Dan Riegert and Dana Muscato both resigned from the firm and its board in 2007. Phoenix Motorcars is developing highway-speed, all-electric vehicles which the firm says will have a range of 100 miles on a 10 minute charge.
